1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you") and AcquiSync ("Agency," "we," "us," or "our"), concerning your access to and use of the https://www.acquisync.agency/ website and the AcquiSync dashboard platform (the "Service").

By accessing the Site, creating an account, or using the AcquiSync dashboard, you agree that you have read, understood, and agreed to be bound by these Terms of Service.

2. Description of Services

AcquiSync provides an AI-native marketing operating system for coaches, consultants, and personal-brand founders, delivered through a subscription dashboard and seven purpose-built AI agents. Services include, but are not limited to:

Content Factory: AI-generated content across your connected platforms, competitor research, and a content approval pipeline (Kanban board, calendar, and versioned archive) — powered by Ink (copywriting) and Iris (research).

Lead Attraction & Client Success: inbox and DM management with AI-drafted replies, lead qualification, and objection-handling content — powered by Chase and Luna.

Intelligence Layer: an Autoresearch Lab that evolves your content strategy over time, a competitor Signal Feed, and cross-platform performance tracking — powered by Iris and Stack.

Sales & Conversion Tools: an Objection Matrix, VSL performance tracking, Content ROI reporting, and a Weekly Intelligence Report — powered by Flow.

AcquiSync Dashboard: a real-time operating dashboard with role-based access control for your team.

Master Database: an ongoing, self-improving knowledge base built from your content, connected platforms, and performance data.

Human-in-the-Loop AI Agent Operations: deployment and management of the seven named agents. Every externally visible AI-generated artifact (post, script, reply, article) requires your approval before it is published — there is no fully autonomous publishing path.

3. Intellectual Property Rights

A. Client Content

You retain full ownership of all source materials (documents, images, video, and other data) you provide to us ("Client Content"). You grant AcquiSync a non-exclusive, revocable license to use, reproduce, and modify Client Content solely for the purpose of providing the Service to you, including AI agent operation and Master Database construction specific to your account.

B. Deliverables

You own the final outputs ("Deliverables") generated for your account, including specific posts, scripts, email sequences, ad creative, and your Master Database content, provided your account is current on payment.

C. Agency IP (The "Engine")

AcquiSync retains all rights, title, and interest in our proprietary agent architecture, orchestration system design, automation workflow templates, prompt libraries, agent configurations, dashboard code, and underlying methodology (collectively, "Agency IP"). You are granted a non-exclusive license to use these systems for your internal business purposes while your subscription is active. You may not resell, duplicate, white-label, or package our systems or dashboard for sale to third parties, except under an explicit reseller agreement with AcquiSync.

D. Dashboard License

Access to the AcquiSync dashboard is provided under a software-as-a-service license tied to your active subscription. Dashboard access is role-scoped and is revoked upon termination of your subscription.

4. Client Responsibilities

To ensure the success of the Service, you agree to:

Provide necessary source content and onboarding information in a timely manner.
Grant access to the third-party platforms required for the Service to operate (e.g., Instagram, Facebook, X, LinkedIn, TikTok, YouTube, Threads).
Ensure you hold the copyright or necessary permissions for all content you provide for processing and AI training.
Comply with the terms of service of every third-party platform you connect to AcquiSync.
Not use the AI SDR, DM automation, or any outreach feature in violation of applicable anti-spam laws or platform terms of service.

5. Fees and Payment

Starter Plan

$125/month, billed in advance.

Growth Plan

$349/month, billed in advance.

Plans renew automatically each billing period unless cancelled in accordance with Section 9.

Late Payments: failure to pay an invoice within seven (7) days of its due date may result in suspension of the Service, pausing of automation workflows, and restricted dashboard access.

Except as required by applicable law, fees already paid are non-refundable.

6. AI Disclaimer and Limitation of Liability

A. Nature of AI and Autonomous Agents

You acknowledge that the Service uses AI technologies including large language models, autonomous AI agents, and automated scraping and outreach tools. AI is probabilistic by nature and may occasionally produce hallucinations, factual errors, or inconsistent outputs. Our agents run on scheduled and on-demand cycles, and every externally visible output requires your approval before publication. While we implement quality controls, AcquiSync does not guarantee that AI-generated content or agent actions will be 100% error-free.

B. No Guarantee of Results

AcquiSync makes no specific guarantees regarding the number of leads, booked calls, sales, or revenue generated through our systems. Marketing results vary based on industry, offer quality, market conditions, and factors outside our control.

C. Liability Cap

In no event will AcquiSync or its directors, employees, or agents be liable for any indirect, consequential, exemplary, incidental, or punitive damages. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid by you to us during the three (3) month period prior to any cause of action arising.

7. Third-Party Platforms

Our Service relies on third-party platforms including Anthropic (Claude), Groq, Google AI, n8n, Apify, Supabase, Cloudflare, Meta (Instagram, Facebook, Threads), X, TikTok, YouTube, LinkedIn, Medium, Dev.to, Hashnode, and others. We are not responsible for:

Service interruptions, downtime, or API changes by any third-party platform.
Changes in API pricing or terms of service by these providers.
Account bans or restrictions imposed by platforms (e.g., Instagram, LinkedIn) due to outreach or publishing activity conducted on your behalf.
Costs incurred from third-party platform usage that exceeds any included allowances.

8. Confidentiality

We agree to keep all non-public information you provide strictly confidential and to use it solely to perform the Service. This includes your customer lists, business strategies, pricing, revenue data, and raw content. This obligation survives termination of the agreement.

9. Term and Termination

Term: the agreement is effective as of the date you sign up or pay your first invoice.
Termination: either party may cancel the subscription at any time. Cancellation takes effect at the end of the current billing period, and no further payments will be charged after that date.
Upon Termination: AcquiSync will hand over all Client Content and final Deliverables, including your Master Database exports and content assets, promptly and no later than 30 days after the effective termination date. Access to the AcquiSync dashboard and agents ceases at the end of the final billing period.
